Vendor Terms and Conditions for the
115th Annie Malone May Day Parade SM
VENDOR LOCATION: KIENER PLAZA
These Annie Malone May Day Parade Terms and Conditions for 2025 (“Terms”) are made by Annie Malone Children and Family Services℠, a Missouri nonprofit organization (“Organizer”), and are made to regulate and set rules for (i) Annie Malone May Day Parade, an event to take place in St. Louis, Missouri on Sunday May 18, 2025 (the “Event”) and (ii) each participant who has a vendor/exhibit or a parade entry (each, an “Entry”), including all person participating as part of an Entry at the Event (each, a “Participant”).
Organizer is a tax exempt educational and charitable organization under Section 501(c)(3) of the Internal Revenue Code. Our Organization’s mission statement is: “to improve the quality of life for children, families, older adults, and the community at large by providing social services, educational programs and advocacy.”
I. General Terms and Conditions
- Important Prices. The following prices shall apply to the Vendor Participants at the event.
- Annie Malone Children and Family Services℠ reserves the right to review all applications and make vendor decisions based on the need for products and the need to avoid over saturation of other products. No independent vendor will be granted exclusivity at the Annie Malone May Day Parade on Sunday, May 18, 2025. Please read the rules and fill out the application completely.

FULL PAYMENT IS REQUIRED AT THE TIME OF REGISTRATION
ANNIE MALONE WILL NOT PROVIDE ELECTRICITY OR LIGHTS
After Annie Malone receives your completed registration, you will be issued an Annie Malone vendor confirmation. Credentials will be issued at the MANDATORY meeting on Saturday, May 10, 2025, at 9 a.m. at Annie Malone's Page location at 5355 Page Blvd., St. Louis, MO 63112.. All vendors must display the Annie Malone credentials in order to operate. The $100 refundable deposit paid will be refundable within 30 days after participation in the event.
The following will be required for participation:
- Payment in full
- All applicable permits. Including but not limited to:
- Health Department License
- Food Permits (Apply for Temporary Food Permits (stlouis-mo.gov))
- Propane Permit from Fire Department
- Other Permits ((Permits, Inspections, and Certifications | Explore Topics (stlouis-mo.gov))
- Vendors are required to provide photo-copies of all necessary licenses, permits, state sales tax certificate, and liability insurance before Annie Malone vendors credential will be issued.
- Insurance must be in the amount of $1,000,000 deemed acceptable to Annie Malone in accordance with vendor’s activity. Standard liability and worker compensation (where applicable) are acceptable. Vendors for whom certificates of insurance are not received will not be issued credentials and will not receive a deposit fee refund.
- No vendor will be eligible to sell or provide alcoholic beverages or obtain a liquor license. No vendor will be eligible to sell or provide any Cannabidiol (CBD) products.
- Rights Related to the Event. The Organizer reserves all rights related to the event, including all rights as producer. Reproduction, broadcast, or commercial use of the Event or Event-related activities without the express consent of the Organizer is strictly prohibited.
- Force Majeure. The Organizer will not be liable or responsible to any Participant, or be deemed to have defaulted under or breached these Terms and Conditions, for any failure or delay in fulfilling or performing any term of these Terms and Conditions or any Event- related rules, when and to the extent such failure or delay is caused by any: (i) acts of God, including weather; (ii) flood, fire, or explosion; (iii) war, terrorism, invasion, riot, or other civil unrest; (iv) national or regional emergency, including, but not limited to, a new or continued outbreak of COVID-19 virus or any other infectious disease outbreak or pandemic; or (v) passage of law or governmental order, rule, regulation, or direction, or any action taken by a governmental or public authority (each of the foregoing, a “Force Majeure”), in each case, provided that such event is outside the reasonable control of the Organizer and the Organizer uses diligent efforts to end the failure or delay and minimize the effects of such Force Majeure.
- Participant Termination. Participant may not terminate these Terms and shall not be entitled to any refund from the Organizer with regard to the Participant’s participation in the Event after applicable fees have been paid.
While no Participant shall be entitled to a refund, each refund shall be in the sole discretion of the Organizer based upon the timing of the termination or cancelation, the number of Vendor Participants, etc. No Participant shall be entitled to a refund based on a Force Majeure event. - Organizer Termination; Rejection and Refusal. Organizer may terminate these Terms and the Participants participation in the Event, immediately upon if any Participant breaches these Terms or the Participants participation in the Event would cause harm to the Organizer or the Event, as determined in the sole discretion of the Organizer. No Participant shall be entitled to a refund from the Organizer if the Organizer terminates the Participant’s participation in the Event (or any portion thereof) pursuant to this Section 5.
Organizer reserves the right to refuse applications by any Participant to participate in the Event if (i) the Participant’s participation is inconsistent or in conflict with the mission of the Organizer or the Event or (ii) the Participant’s participation could be detrimental or harm the successful completion or functioning of the Event, all as determined by the Organizer in its sole discretion.
The organizers reserve the right to refuse participation or remove any individual, group, or entity from the parade who engages in behavior that creates or has the potential to create civil unrest, including but not limited to disruptive actions, inflammatory speech, or any behavior deemed detrimental to the peaceful and orderly conduct of the event.
Finally, the Organizer reserves the right to exclude any potential Participant for any reason. The Organizer makes decisions based on creating and active and exciting Event.
Release and Indemnification. BY PARTICIPATING IN THE EVENT, PARTICIPANTS AGREE TO RELEASE, DISCHARGE AND HOLD HARMLESS THE ORGANIZER, AND ITS AFFILIATES, SUPPLIERS OF MATERIALS OR SERVICES RELATED TO THE EVENT (INCLUDING RETAILERS, AND ADVERTISING, PROMOTION, FULFILLMENT AND MARKETING AGENCIES) AND ALL OF THEIR RESPECTIVE EMPLOYEES, REPRESENTATIVES, DIRECTORS, OFFICERS, SHAREHOLDERS, AND AGENTS (COLLECTIVELY, “RELEASEES”) FROM ANY AND ALL CLAIMS MADE BY PARTICIPANTS OR ANY OTHER THIRD PARTIES, LIABILITIES OR DAMAGES RELATED IN ANY WAY TO THE OPERATION OF THE EVENT, AS WELL AS ANY AND ALL CLAIMS, DAMAGES OR LIABILITY FOR ANY INJURY, THEFT, LOSS, OR DAMAGE OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, WHETHER DIRECT OR INDIRECT, WHICH IS RELATED TO THE EVENT, PARTICIPATION OR ATTEMPTED PARTICIPATION IN THE EVENT.
Organizer reserves the right to terminate, suspend, cancel, or modify the Event or the Terms, without notice. Releasees are not responsible or liable for any Force Majeure event. Organizer and Releasees make no representations and no guarantees (and shall not be liable for) regarding attendance at the Event.
- Laws; Regulations. While participating in the Event, all Participants must follow all applicable laws and regulations in addition to these Terms. Any violations of any applicable laws or regulations are strictly prohibited, and the Organizer shall not be liable or responsible for any such violations. The Organizer reserves the right to terminate each Participant’s participation in the Event (or any portion thereof) due to a violation of any applicable law or regulation. No Participant or attendee at the Event may display, offer for view, sell, or consume any illegal or contraband items at the Event.
- Payments. Payments will be accepted through the designated Event website only.

II. Participant Terms
This Section II applies to all Vendor Participants participating in the Event.
- Removal; Organizer Directions. The Organizer and its representatives reserve the right to remove any Vendor Participant or organized group of from the Event at any time as well as the right to refuse privileges for any reason. Any Vendor Participant unwilling to comply with these Terms is subject to immediate removal from the Event. All Vendor Participants must follow the direction of the Organizer prior to and during the Event. The Organizer’s staff will be identified as “Vendor” or “Board Member” representatives.
- Required Meeting. Participants MUST attend the mandatory meeting on Saturday May 10, 2025 @ 9 am at Annie Malone's Page location at 5355 Page Blvd., St. Louis, MO 63112.
BECAUSE ATTENDANCE AT SUCH MEETING IS MANDATORY, ALL VENDOR PARTICIPANTS WHO FAIL TO ATTEND A REQUIRED MEETING MAY RESULT IN THE LOSS OF ANY FEES OR ENTRY COSTS PAID TO THE ORGANIZER AND DENIAL OF ENTRANCE OR PARTICIPATION IN AN EVENT ELEMENT.
- Required Meeting. Participants MUST attend the mandatory meeting on Saturday May 10, 2025 @ 9 am at Annie Malone's Page location at 5355 Page Blvd., St. Louis, MO 63112.
- Confirmation of Participation. Each Vendor Participant will receive confirmation of their participation via email at the email address provided during registration.
- Permits Generally. Each Vendor Participant must secure all required permits to participate at the Event, which may be requested by Organizer or governmental authorities at the Event.
- Insurance; Certificate of Liability. A certificate of liability insurance is required naming the following as “additional insured” for the time of the events: Annie Malone Children and Family Services its Board of Directors, agents and assigns, and the City of St. Louis, Missouri. Insurance must be in the amount of $1,000,000 deemed acceptable to Annie Malone in accordance with vendor’s activity. Standard liability and worker compensation (where applicable) are acceptable. Vendors for whom certificates of insurance are not received will not be issued credentials and will not receive a deposit fee refund.
- Use of Event Spaces / Parks. The parking of any vehicle on the grass and/or in violation of park regulations may result in ticketing and/or towing of a Vendor Participant’s vehicle. The Organizer accepts no responsibility and cannot intervene in these infractions and any subsequent actions by the City of St. Louis.
- Set Up Time. Set up times will be 10 a.m. to 6 p.m. on Sunday, May 18, 2025, and will be provided at the mandatory meetings.
Food Vendor / Personal Care Product-Specific Terms.
This Section shall apply to all Vendor Participants who are selling “food concessions.” “Food concessions” is defined as providing food items intended for consumption at the Event. With reasonable cause, as determined by the Organizer in its sole discretion, the Organizer reserves the right to classify any Vendor Participant as a “food concessions” Vendor Participant. Food items are typically prepared on-site at the Event and offered for sale.
All food Vendor Participants must have all appropriate permits.
- Food vendors may be required by the Organizer to submit a list of all menu items prior to the mandatory vendor meetings.
- No free standing (i.e. non-self-contained) generators are permitted at the Event. Food truck Vendor Participants may use self-contained generators (i.e. not free standing generators).
- Vendor Parking. Parking and access to the parade area will be restricted. Vendors will be issued restricted access passes for vehicles unloading booth supplies. Vendors will not be allowed to park any vehicles in their designated booth area during the hours of the parade. Only vehicles displaying the proper access pass will be allowed in the off-street parking area (e.g., Food Trucks). If any vehicles are found parked on the parade route or other restricted area during the event the owner will be subject to towing, fine and forfeiture of deposit for the booth he/she is operating.
- Canvassing; Soliciting. Only Vendor Participants with paid booth space may solicit / canvass within the Event and must be always within ten (10) feet of their purchased booth space when soliciting attendees. All canvassers/solicitors as part of a Vendor Participant must be clearly identifiable with the Vendor Participant that they are representing. Canvassers are to be respectful of space being utilized by other Vendor Participants and are asked not to conduct conversations, surveys, etc., within ten (10) feet in front of another Vendor Participant’s booth. Complaints from Vendor Participants regarding canvassers from a specific organization may result in that Vendor Participant being required by the Organizer to cease all canvassing activity. Cessation of canvassing will not result in any refund to the Vendor Participant.
- Vendor Booth Signage. It is the responsibility of each Vendor Participant to create their signage. Vendor Participants must prominently display their booth numbers during the Event.
- Specific Vendor Placing. Annie Malone will choose all booth locations based on safety, traffic, and logistics. All decisions by Annie Malone are final. All equipment, supplies, booth materials, and selling activity must be confined to your allocated space.
- Generators. If you have a generator (e.g., non food vendors such as generator for bounce house), you must have a fire extinguisher in your booth.
- Clean Up. Vendors are responsible for trash pick-up and removal from their assigned location and the 10 feet surrounding area.
- Any vendor dealing with grease or oil is required to provide receptacles into which you can safely secure your grease and take it with you to your place of business or an approved disposal location. Leaving or disposing of your grease or oil in any other manner will result in a loss of deposit and a fine for the cost of disposal.
Other Information
- Annie Malone may have contracted sponsorship agreements that provide for the preferred sales of specific product lines by vendors choosing to sell in that category. All vendors are required to adhere to the sponsorship agreements. All sponsorship agreements will be announced in April of 2023. Failure to adhere will cause immediate closure, removal of booth and forfeiture of deposit.
- The laws of the State of Missouri and the city of St. Louis will apply to all vendors. Failure to comply with these laws will cause your booth to be closed with no return of fees or deposits.
- Annie Malone presents this event for the general public and reserves all rights as the sole producer of the event.
- Vendors will not display or offer for sale any item that is imprinted or affixed with “Annie Malone Parade” or “May Day Parade” or the Annie Malone logo or reproductions of all or part of the official poster and T-shirt without prior written approval of Annie Malone.
- All booths will be set up and ready for operation from 10:00 A.M. to 6:00 P.M. on Sunday, May 18, 2025. Any vendor caught selling beyond these times will have their permit pulled and will forfeit their deposit.
SM Servicemark Restrictions. Except as indicated, Annie Malone Children and Family Service Center (the "Agency") owns all trademarks, service marks or other logos featured on this website. Use or misuse of these trademarks, service mark or logos is expressly prohibited and may violate federal and state law. Nothing in this Agreement authorizes you to use any Agency trademarks, service marks, or logos. Participant/Vendor shall not use name, logos, or other trademarks, service marks or trade names, or any portion or variation thereof, in any manner that would create the impression that Participant/Vendor is a division, subsidiary, franchisee, or affiliate of the Agency; or on any business signs, business cards, stationery, envelopes, invoices, forms, or similar documents, in any media.
